WITHOUT LIMITING THE FOREGOING, KONEXION MUSIKAL LLC AND ITS AFFILIATES MAKE NO WARRANTY THAT (I) THIS WEBSITE WILL MEET YOUR REQUIREMENTS, (II) THIS WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, (III) THIS WEBSITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR (IV) ANY ERRORS IN THIS WEBSITE WILL BE CORRECTED.

12. Exclusions and Limitations 

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 10 AND 11 MAY NOT APPLY TO YOU.

13. No Recourse to Konexion Musikal LLC; Dispute Resolution 

You agree that Konexion Musikal LLC shall have no direct liability to you in connection with your use of this website or services provided, and that any claim you may have relating to or arising out of your use of this website or services shall be brought against Konexion Musikal LLC. 

Any controversy or claim arising out of or relating to these TERMS or breach hereof, or otherwise relating to this website or services provided (with the exception of relief sought by Konexion Musikal LLC or any of its vendors for any violation of its proprietary rights), shall be settled by binding arbitration in accordance with the then-current commercial arbitration rules of the United States. 

The cost of arbitration, including fees per arbitrator, shall be borne equally by the parties. The location of arbitration shall be New York, New York, USA. To the fullest extent permitted by applicable law, no such arbitration shall be joined to an arbitration involving any other party subject to these TERMS, whether through class arbitration proceedings or otherwise.

14. Governing Law; Exclusive Jurisdiction 

These TERMS and your use of this website shall be governed by the laws of the State of New York, USA, without regard to its conflict of law provisions. 

SUBJECT TO THE DISPUTE RESOLUTION PROCEDURES SET FORTH IN SECTION 13, ANY LEGAL ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR ACCESS TO OR USE OF THE SERVICE SHALL BE INSTITUTED ONLY IN A STATE OR FEDERAL COURT LOCATED IN NEW YORK, NEW YORK, USA, AND YOU EXPRESSLY CONSENT TO THE PERSONAL AND EXCLUSIVE JURISDICTION OF SUCH COURTS.

15. Communications with Users

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this website and services or these TERMS must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section headings used herein are for convenience only and shall not be given any legal or contractual effect. You expressly acknowledge that portions or this website are provided on behalf of Konexion Musikal LLC by one or more third-party vendors, and that such third-party vendors shall be intended beneficiaries of the TERMS and may enforce such TERMS against you.

17. Minors 

This website and services provided are not intended for use by or availability to minors. IF YOU ARE NOT LEGALLY AN ADULT UNDER THE LAW WHERE YOU LIVE OR IF YOU ARE UNDER 18 YEARS OF AGE, YOU MAY NOT ACCESS OR USE THIS WEBSITE for any type of purpose. Your continued use will be a direct violation of our terms of service.
